These Terms and Conditions ("Terms") govern your access to and use of the CADS Hub platform (cadshub.com), SMS messaging programs, and related services operated by Seibert Ventures, LLC ("Company," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not access or use our services.

Section 1: Platform Terms

Service Description

CADS Hub is a proprietary business management platform operated by Seibert Ventures, LLC. The platform provides integrated tools for managing day-to-day business operations including order processing, inventory management, invoicing, shipping, customer management, and related workflows.

Account Responsibilities

Access to CADS Hub is by invitation only and requires authorized credentials. By using the platform, you agree to:

  • Maintain the confidentiality of your login credentials and not share your account with unauthorized individuals
  • Notify us immediately if you suspect unauthorized access to your account
  • Ensure that all information you enter into the platform is accurate and up to date
  • Use the platform only for its intended business purposes
  • Comply with all applicable laws and regulations in your use of the platform
  • Log out or lock your session when leaving your workstation unattended

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

Acceptable Use

You agree not to use CADS Hub to:

  • Violate any applicable local, state, national, or international law or regulation
  • Access, tamper with, or use areas of the platform or systems that you are not authorized to access
  • Attempt to probe, scan, or test the vulnerability of the platform or circumvent any security measures
  • Interfere with or disrupt the platform, servers, or networks connected to the platform
  • Upload or transmit viruses, malware, or other malicious code
  • Scrape, data mine, or extract data from the platform by automated means without our express permission
  • Use the platform to store or transmit material that is unlawful, harmful, threatening, abusive, or otherwise objectionable
  • Attempt to reverse engineer, decompile, or disassemble any portion of the platform

Intellectual Property

The CADS Hub platform, including all software, code, design, text, graphics, logos, icons, and user interfaces, is the exclusive property of Seibert Ventures, LLC and is protected by intellectual property laws. You may not:

  • Copy, reproduce, modify, or create derivative works of any part of the platform
  • Distribute, license, sell, or transfer the platform or any portion thereof to any third party
  • Use our trademarks, logos, or brand names without our express written consent

Data Ownership & Confidentiality

Seibert Ventures, LLC retains ownership of all business data entered into and generated by the CADS Hub platform, including but not limited to customer records, order data, financial records, and operational data.

All data within the platform is confidential and proprietary. Users agree to:

  • Not disclose, share, or distribute any business data from the platform to unauthorized parties
  • Not export, download, or copy data from the platform for purposes outside the scope of their authorized duties
  • Treat all customer, supplier, and financial information as confidential
  • Return or destroy any platform data upon termination of their access

Third-Party Services

CADS Hub may integrate with third-party services to provide certain functionality. These services are governed by their own terms of service and privacy policies. We are not responsible for the availability, accuracy, or performance of any third-party service. Issues with third-party services may affect certain platform features.

Service Availability

We strive to maintain the availability of the CADS Hub platform at all times. However, we do not guarantee uninterrupted or error-free service. The platform may be temporarily unavailable due to:

  • Scheduled maintenance and system updates
  • Unplanned outages or technical issues
  • Force majeure events (natural disasters, power outages, internet disruptions, etc.)
  • Third-party service interruptions

We will make reasonable efforts to provide advance notice of scheduled maintenance. We are not liable for any damages or losses resulting from service interruptions.

Section 2: SMS Messaging Terms

SMS Program Name & Description

CADS Hub SMS Notifications

The CADS Hub SMS Notifications program is operated by Seibert Ventures, LLC. By opting in to our SMS messaging program, you agree to receive text messages related to:

  • Order confirmations and status updates
  • Shipping notifications and delivery updates
  • Account notifications and alerts
  • Customer service communications
  • Invoice and payment reminders

Opt-In / Consent

By providing your mobile phone number and agreeing to receive text messages from CADS Hub, you expressly consent to receive recurring SMS messages from us at the phone number you provided. Consent is not a condition of purchase. You may opt in by:

  • Providing your phone number and checking the opt-in box on our website or customer portal
  • Texting a designated keyword to our short code or phone number
  • Verbally consenting during a phone call with our customer service team
  • Providing written consent on an order form or account application

Message & Data Rates

Message and data rates may apply. Please contact your wireless carrier for details about your text messaging plan and any associated costs. CADS Hub is not responsible for any fees charged by your mobile carrier.

Message Frequency

Message frequency varies based on your account activity and the services you have opted into. You may receive SMS messages when order updates, shipping notifications, or account alerts are triggered by activity on your account. The number of messages you receive depends on your level of activity and may range from occasional messages to several per week during active order periods.

Opt-Out Instructions

To opt out and stop receiving SMS messages, text “STOP” to any message you receive from us.

After sending STOP, you will receive a one-time confirmation message acknowledging your opt-out request. You will no longer receive SMS messages from this program after that confirmation. If you wish to rejoin the program later, you may opt in again at any time by following the opt-in process described above.

Please note that opting out of SMS messages does not affect communications through other channels such as email or phone calls.

Our SMS messaging service is compatible with most major U.S. wireless carriers, including but not limited to:

Carriers are not liable for delayed or undelivered messages. Service availability may vary by carrier and location.

Section 3: General Legal Terms

Privacy

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEIBERT VENTURES, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages resulting from service interruptions, data loss, or unauthorized access
  • Any damages resulting from third-party service failures or integration issues
  • Any delays or failures in SMS message delivery due to carrier network issues, device incompatibility, or other factors outside our control

The platform and all services, including SMS messaging, are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the platform or services, including but not limited to the timeliness, accuracy, reliability, or completeness of any data, messages, or features.

Indemnification

You agree to indemnify, defend, and hold harmless Seibert Ventures, LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to your violation of these Terms, your misuse of the platform or services, or your violation of any applicable law or the rights of any third party.

Termination

We reserve the right to suspend or terminate your access to the CADS Hub platform and related services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms and Conditions
  • Termination of your employment or business relationship with the Company
  • Suspected unauthorized access or security breach
  • Request by law enforcement or government agency

Upon termination, your right to access the platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including confidentiality, intellectual property, limitation of liability, and indemnification) will remain in effect.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in Franklin County, Ohio.

Before initiating any legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at the address below. We will make good-faith efforts to resolve the matter within 30 days.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Changes to These Terms

We may update these Terms and Conditions from time to time. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of the platform or participation in the SMS messaging program after any changes constitutes your acceptance of the updated Terms.
